Michael advises both established and emerging private companies across a range of industries in connection with private mergers, acquisitions and divestitures, private capital fundraising, structural reorganizations, commercial agreements, and a variety of corporate governances and general corporate matters.
Michael has also served as outside general counsel to assist his clients on a number of day-to-day legal needs including commercial agreements, investor relations, board support, recapitalizations, debt conversions, entity formation, stock splits, and equity incentive plans.
Experience
Represented TPG Capital and Francisco Partners in their $4 billion joint acquisition of Boomi, a provider of cloud-based integration platforms from Dell Technologies.*
Represented Harvest Partners in its majority investment in Galway Insurance Holdings, one of the largest U.S. insurance distribution firms and holding company for EPIC Brokers & Consultants and JenCap Holdings, alongside existing investors Oak Hill Capital and The Carlyle Group.*
Represented New Mountain Capital and its portfolio company Bounteous in its acquisition of Hathway, a digital growth partner for top restaurants including Wingstop, Dutch Bros. Coffee, Noodles & Co, Panda Express, Raising Canes, and Dash-In Food Stores.*
Represented KarpReilly in its sale of Zola Fruits of the World, maker of top-selling coconut waters, to California-based cannabis company, Caliva.*
