Carolyn’s practice is focused on commercial real estate development and transactions, including commercial leasing, acquisition, construction, and financing. She also has extensive experience with condominium formation and structuring transactions. Carolyn’s clients range from owners, investors, landlords, developers, financial institutions and planned community clients.

Carolyn also regularly represents individuals and developers in the financing and acquisition of properties as well as developers in connection with the creation of common interest communities.  Carolyn has extensive experience in corporate governance under the Connecticut Common Interest Ownership Act.

Carolyn also dedicates a portion of her practice to counseling financial institutions in connection with commercial real estate financing, including loan restructuring and workouts. Carolyn represents individuals, developers and municipalities in private and public construction and development projects, as well as the representation of both landlords and tenants in commercial leasing of office and retail properties. She regularly negotiates and prepares commercial leasing agreements for all types of commercial leaseholds.

Carolyn’s proactive and creative approach to client service has fostered the development of long-term relationships with her clients. Carolyn is recognized as a thoughtful advisor who values collaboration and works alongside her clients and their teams of professionals.

Experience

  • Represented the University of New Haven in connection with the affiliation of Lyme Academy College of Fine Arts in Old Lyme, Connecticut with UNH.
  • Represented a leading national developer in the acquisition of four parcels along Summer Street, Bedford Street and North Street in Stamford, Connecticut, in relation to a new, seven-story, mixed-use development with ground-floor retail, parking garage and several-hundred apartments with related amenity space.
  • Represented Toll Brothers in the acquisition of four parcels along West Avenue, Butler Street and Quincy Street in Norwalk, Connecticut, being developed into a new, seven-story, mixed-use development with a theater, restaurant space, office space, parking garage and several-hundred apartments with related amenity space.
  • Represented joint venture consisting of two privately-held real estate developers on a sale and leaseback of real property, together with $50 million in leasehold construction financing, to construct a ground-up, mixed-use development consisting of 299 residential apartments, 6,000 square feet of retail space and 206 parking spaces.
  • Led the $65,000,000 structured financing for Stanadyne, a worldwide designer and manufacturer of fuel filtration systems, fuel pumps, fuel injectors and valve train components, with almost $300 million in annual sales and an Exchange Act reporting company, with facilities in Connecticut, North Carolina, Florida, France, Italy, India and Brazil.
