DESCRIPTION:Tim Klimpl will moderate “Nuts and Bolts of Business Law\, A Series Part 1: Formation Matters” for the Fairfield County Bar Association. \nAbout the Program  \nThe first program in a series presented by the Business Law Committee\, this session will review fundamental considerations of business entity formation\, including choice of entity\, state of formation/foreign qualifications\, drafting formation and governance instruments and agreements\, equity and capital concerns and basic tax matters. The program will include information on business corporations\, limited liability companies and partnerships. Why does your client need to form a business entity? Should your client’s business be a corporation or an LLC? Are there other parties involved beside your client? How do you draft bylaws or an operating agreement? This will be a one-hour presentation inclusive of questions and answers.
