Carmody & Torrance has a long history of representing clients in the development and construction of energy-related projects throughout the world. Our lawyers are regularly involved in a diverse range of transactions – from sophisticated and unique ventures that have not been built in several decades (if ever) to the usual and customary projects that have become common in today's energy-driven economy. In addition to our role as legal counsel, we have added value through our ability to manage large-scale transactions and to formulate and achieve result-oriented strategies.

We approach construction projects in a manner consistent with the client's objectives. For larger projects, we assemble a team led by one of our attorneys with experience in the applicable energy field and supported by other professionals possessing skills in the relevant disciplines (e.g., regulatory, finance, and real estate). The team leader is responsible for managing performance and accountable for results. We employ a similar approach for smaller projects, drawing on the strengths of our cross-trained professionals to deliver efficient and cost-effective services, while at the same time maintaining our commitment to accountability.

Our breadth and depth of experience in energy and construction projects fosters successful execution. We have represented owners, general contractors, and subcontractors in numerous energy-related construction projects. Our experience includes all traditional forms of fulfillment arrangements (e.g., engineering, procurement, and/or construction), AIA and customized documentation, and transactions related to construction (e.g., project and program management, financing facilities, and ownership structures).

Representative transactions include:

  • Providing the owner comprehensive legal services in connection with a multi-billion dollar transmission line upgrade program, including procurement of regulatory approvals, negotiation of consulting contracts, development of contracting strategies, and participation in the solicitation and award process (including the preparation and negotiation of material construction contracts).
  • Represented the general contractor in the workout and completion of a cogeneration facility serving a large Connecticut university.
  • Represented the developer of several energy center installations for government facilities (including the installation of emerging/renewable technologies such as fuel cells), as well as related operations and maintenance agreements.
  • Represented a utility in the public solicitation and award of a turnkey construction contract for a major substation installation in connection with an infrastructure upgrade.
  • Represented a domestic and international developer in, among other things, the construction of merchant power plants involving coal, gas, wind and other technologies.
  • Served as project counsel to an international wind-powered project, including the negotiation of the turnkey construction contract.
  • Represented several municipalities in the construction contracting process for infrastructure and energy-related facilities.
