Real Estate Purchase, Sale, Exchange and Leasing

Carmody & Torrance’s real estate attorneys are involved in all aspects of commercial, industrial and multi-family residential real estate transactions, representing buyers, sellers, landlords and tenants. Our involvement includes, but is not limited to: negotiating, drafting and reviewing purchase options, leases and purchase and sale agreements; performing pre-acquisition due diligence including title, land use and environmental reviews; providing advice regarding compliance with relevant laws; assisting with formation of appropriate acquisition entities; and providing all necessary closing services. Working with other Carmody & Torrance practice groups, our real estate attorneys assist in obtaining federal, state and local land use and other regulatory approvals required as part of real estate transactions and assist in arranging and negotiating financing for acquisition and development projects.

Our real estate services include the development of common interest communities, such as new residential, office and manufacturing communities, mixed use commercial and residential communities, conversions of existing properties to common interest communities, and the creation of communities consisting of air space units, conventional units or both.

Carmody & Torrance’s real estate attorneys are also involved in all aspects of tax-free exchanges. Exchanges have involved all types of real estate, as well as the acquisition and timely completion of new construction projects. We work with a number of tax exchange companies to effectuate exchanges on behalf of clients.

Some of our recent engagements have included:

  • Land acquisition and construction services for a major university project, the sale of its existing campus, including the preparation of environmental transfer filings and remediation agreements, negotiation of appropriate environmental insurance policies and continuing post-closing services as part of remediation
  • Representation of the owner of contaminated property with respect to environmental remediation agreements and transfer filings with a major oil company, and the sale and assignment of those agreements to the third party purchaser
  • Acquisition of a hotel site, including negotiations to create a commercial common interest ownership community consisting of air space and conventional mixed use condominium units
  • Acquisition of a multiple cottage site, creation of a residential common interest ownership community consisting of air space units for each of the individual cottage sites and the final sale of each of those individual units
  • Investigation of numerous sites for location of a new medical facility, obtaining all land use approvals for the facility and acquisition of its selected site
  • Obtaining approvals for demolition of a substantial manufacturing site, negotiation for sale of that site and continuing post-closing remediation activities on behalf of the seller
  • Negotiations of a multi-year lease for a new site for a major state agency, including related title and other due diligence services
