Our work entails confidentiality agreements, formulation of strategies, equity structuring, permitting, contracts, real estate acquisitions, financings, closings and start-up. Our representative experience includes:
- Electric Transmission Projects. Represented an electric utility on all of its recent major transmission projects. Developed contract templates and assisted the client in preparation of RFPs, evaluation of bid proposals, negotiation and documentation of resulting contracts, and contract administration. Negotiated and documented the client's contractual arrangements with its program manager. Our work has involved all aspects of permitting, development and construction of these transmission projects
- Independent Power Projects. Served as counsel for the independent energy subsidiary of an electric utility in numerous matters related to the development of electric generation projects involving coal, gas, hydro-electric, wind and other renewable/developing (e.g., fuel cells) technologies. Obtained permits, structured and negotiated relations among the equity participants, structured and negotiated financing arrangements, and created incentive compensation plans with local and international developers
- Brownfield Redevelopment. Represented a local development agency in a $40 million remediation and demolition project involving a 90-acre manufacturing site for development as a regional shopping center, including negotiation of a construction manager contract (joint venture of environmental engineer and construction contractor), agency-project manager contract, numerous remediation and demolition contracts, state funding assistance agreements, federal funding agreement, numerous professional environmental consultants' agreements and advice regarding environmental, land development and real estate title matters
- Wireless Communications. Serve as Connecticut counsel for the development of approximately 400 wireless communications sites to date. Negotiate the acquisition of rights for telecommunications facilities to be installed on new and existing towers, flagpoles, signs, church steeples, roof tops and penthouses, from private owners, governmental agencies, tower management companies and other carriers. Assist with the acquisition of property for switch stations and the sale of excess properties. We also have negotiated office space, leases and subleases of tower facilities. We have resolved significant environmental issues related to landfills, petroleum contaminated properties, properties with poor maintenance practices, and historic pesticide usage. In addition, we have handled title issues including incorrect property descriptions, land restrictions, gaps in title, interests of lenders, easements to others, access impairments and unrecorded tenancies
- Wastewater Facilities. Represented a large Connecticut municipality in several related projects involving a $137,000,000 upgrade to its wastewater facilities. The projects included a new wastewater treatment facility, a new main carrier relief sewer and several related projects to reduce infiltration and inflow into the wastewater collection system
