Carmody & Torrance’s financing group devotes a substantial portion of its practice to representing financial institutions and general corporate clients in a variety of financing transactions. In addition to traditional commercial and real estate lending, we have experience in equipment lease financing; venture capital lending; specialty lending, such as lending to health care and the public utility industry; tax-exempt and taxable bond financing; lending supported by letters of credit and bankers acceptances and loan transactions involving warrants and other types of equity kickers.
Recent Engagements Include:
- Working Capital. Represented a large national bank (with offices in Connecticut) in connection with working capital and term loan financing to a hospital located in Northwestern Connecticut for capital improvements
- Acquisition. Represented a foreign private equity group in a $19,880,000 senior secured loan used to acquire a second company in the golf-wear business, including interest note “swaps”
- Mortgage Warehousing Financing. Represented a large national bank (with offices in Connecticut) in connection with $25,000,000 mortgage warehousing financing to a Connecticut-based mortgage origination company
- Real Estate. Represented a Connecticut-based national bank in connection with construction financing for an age-restricted (over 55) condominium complex in Bethel, Connecticut
- Bonds. Represented governmental agencies as bond counsel in the issuance of tax-exempt general obligation bonds and as special counsel
- Working Capital. Represented a large international chemical company in obtaining up to $150,000,000 in working capital financing from a large national bank
- Restructuring. Restructured $26,000,000 of credit facilities, including forbearance arrangements, for a Connecticut based technology company
- Bonds. Represented hospitals, schools, child care facilities and other 501(c)(3) organizations in obtaining government bond financing
